01Acceptance of these terms
By submitting an investment request and selecting "I agree", "Accept terms and conditions", or any equivalent confirmation on this website, you confirm that you have read, understood, and voluntarily accepted these Investor Terms and Conditions.
You acknowledge that your participation in the investment programme is governed by the terms set out below. If you do not accept these terms, please do not submit an investment request.
02How the investment is structured
Investor funds are managed under a pooled investment structure. Pooled capital may be allocated across a range of approved assets and investment opportunities according to prevailing market conditions, available liquidity, risk-management requirements, and the Company's investment strategy.
The objectives of this structure are to:
- diversify exposure across multiple opportunities;
- manage risk through considered allocation of capital;
- pursue consistent and sustainable returns;
- protect capital so far as is practically possible; and
- generate returns through active professional management.
You understand that decisions are made for the pool as a whole, and that you do not individually direct each trade or allocation.
03Returns are not fixed or guaranteed
Investment performance depends on factors including market conditions, volatility, the opportunities available, liquidity, trading performance, the performance of individual assets, and risk-management decisions.
Any percentage shown on this website, in marketing material, in performance examples, or in any communication is a target or indicative level of performance only. It is not a guaranteed return unless expressly stated otherwise in a separate, legally binding agreement signed by both parties.
The Company does not promise that you will receive any particular percentage of profit in any given period.
04Target performance
Depending on market opportunities, volatility, capital allocation, and risk-management conditions, the Company works to a target performance range of up to 25%.
This figure is a target, not a guaranteed return. Actual performance in any period may be below the target, at the target, above it, or zero, and a loss is possible.
The Company's first priority is responsible capital and risk management rather than pursuing any particular percentage by taking excessive risk.
05Capital protection objective
The Company operates a capital-protection objective under which it aims to preserve at least 75% of your original principal, including during adverse market conditions.
Where an agreed capital-protection commitment applies to your investment, the Company undertakes to return up to that protected portion of your original principal, subject to the applicable agreement, available liquidity, the withdrawal procedures set out below, events outside the Company's reasonable control, and applicable law.
06A worked example
The following illustration shows how an account balance changes. The figures are an example only and are not a projection of what you will receive.
Option A — reinvest
You may leave the full balance within the investment structure and continue participating in the programme.
Option B — request a withdrawal
You may request a withdrawal in line with the withdrawal conditions described below.
Reinvestment is entirely your decision. The Company does not require you to compound your profits.
07Withdrawing profits
Where profits are available for withdrawal, you may submit a profit-withdrawal request from your account.
Actual processing time may depend on available liquidity, whether investment positions are open or closed, settlement requirements, banking and payment processing times, market conditions, and internal verification procedures.
Where sufficient liquidity is immediately available, the Company may process your withdrawal sooner.
08Withdrawing your full capital
A request to withdraw your entire investment capital is treated differently from a routine profit withdrawal.
The longer maximum applies because capital may be committed to active investment positions and may not be available immediately without closing those positions at an unfavourable time.
The Company will make reasonable efforts to process capital withdrawals as soon as sufficient liquidity becomes available, and will keep you informed where a request cannot be met quickly.
09Emergency capital withdrawal
If you need to withdraw your full capital urgently, before the standard timeline can reasonably be completed, you may request an emergency exit.
An emergency exit may be subject to an early-exit adjustment of up to 25% of your original capital. This adjustment will be disclosed to you and accepted by you before the withdrawal is processed.
An eligible emergency exit may therefore return approximately 75% of the applicable principal, rather than waiting for the standard liquidity period.
10Liquidity
You acknowledge that invested capital may be committed to active positions and may not always be immediately liquid.
The Company is not required to close a running position early solely to meet an immediate capital-withdrawal request, where doing so could materially affect the investment pool or cause an avoidable loss.
Where sufficient free liquidity exists, the Company may process a withdrawal earlier than the maximum period stated in these terms.
11Investment term
The standard investment term is up to one year, unless you and the Company agree otherwise in writing.
This does not mean that profits must remain invested for the full year. Profit withdrawals remain available under the procedure described above, and full capital withdrawals are subject to the liquidity and exit provisions in these terms.
12Reinvestment and compounding
You may choose to reinvest accumulated profits. Compounding is optional and is never required.
If you choose to reinvest, the accumulated balance becomes part of your invested amount and is subject to the same investment structure and terms.
You remain responsible for deciding whether continued participation and compounding are suitable for your circumstances.
13Investment risk
You acknowledge that financial markets involve risk. Relevant factors include:
- market volatility and price fluctuations;
- liquidity limitations;
- trading losses;
- unexpected market events;
- execution risk;
- risks specific to individual assets;
- technological and operational risk; and
- extraordinary market conditions.
The Company aims to manage these risks responsibly, but market conditions cannot be fully controlled and losses are possible. Please read our risk disclosure in full.
14Transparency and updates
To support transparency, the Company may provide investors with updates covering investment activity, market conditions, trading activity, asset allocation, general performance, profit and loss information, and significant investment decisions.
Where appropriate, investors may also be told when the Company is buying or selling assets, as part of its reporting process.
This information is provided for transparency only. It is not a recommendation or an instruction for you to carry out the same transaction independently.
15Performance reporting
The Company may provide periodic performance reports. These may include your opening balance, invested amount, realised profit or loss, withdrawals, reinvested profits, current balance, and any applicable fees or adjustments.
The Company maintains internal records of investor balances and transactions and will work to keep them accurate and up to date.
16Your responsibilities
By investing, you confirm that:
- you are participating voluntarily;
- you have read and understood these terms;
- you understand that profits are not fixed or guaranteed;
- you understand the capital-protection objective and its limits;
- you understand the withdrawal timelines;
- you understand the emergency-exit adjustment;
- you understand that liquidity can affect withdrawal timing;
- you are responsible for providing accurate account and payment information;
- you will not provide funds obtained through unlawful activity; and
- you understand that past performance does not guarantee future performance.
17Source of funds
The Company may request reasonable information about the source of your funds where this is needed for compliance, verification, security, or any applicable legal or regulatory requirement.
The Company may delay, decline, or return funds where required to do so by applicable law or by its compliance procedures. See our KYC and AML policy for detail.
18Fees, charges, and adjustments
Any management fee, performance fee, withdrawal charge, payment-processing fee, or other applicable charge will be disclosed to you clearly before the relevant transaction takes place.
No undisclosed fee will be applied to your account.
19No individual trading control
Because funds are managed through a pooled structure, you do not individually control the timing, size, asset, or execution of each transaction.
Investment decisions are made by the Company and its investment management team in line with the applicable strategy and risk-management framework.
20Extraordinary market conditions
During extreme volatility, market disruption, suspension of trading, severe liquidity constraints, technical failures, banking or payment disruption, or other circumstances beyond the Company's reasonable control, withdrawal processing and investment activity may be delayed.
The Company will communicate material delays to affected investors wherever it is reasonably able to do so.
21Changes to these terms
The Company may update these terms where required because of changes to the investment model, operational requirements, legal or regulatory requirements, changes in market structure, or improvements to investor protection.
Material changes will be communicated to existing investors where applicable, and the "last updated" date at the top of this page will change.
22No unauthorised promises
No employee, partner, representative, marketer, affiliate, or third party is authorised to promise you a rate of profit that is not expressly stated in the official investment documentation.
Any unofficial promise of guaranteed profits is not a commitment of the Company and should not be relied upon. If someone makes such a promise to you, please report it to us.
23Investor acknowledgement
By confirming your agreement when you invest, you acknowledge the following:
I have read and understood the Investor Terms and Conditions. I understand that investment returns are not fixed or guaranteed, that financial markets involve risk, that the investment operates through a pooled structure, and that withdrawal timing depends on the applicable withdrawal and liquidity provisions. I understand the Company's capital-protection objective and emergency-exit provisions, and I voluntarily agree to participate on these terms.
